Ownership

PDV Holding Inc. (parent of CITGO, including PDV Midwest Refining LLC) is a US subsidiary of Venezuela's PDVSA, but PDVSA has neither controlled nor economically benefited from CITGO since 2019 US sanctions and a long court-supervised sale process. On 2025-11-29, a federal judge in Delaware approved Amber Energy Inc. (an affiliate of Elliott Investment Management) as the acquirer of PDV Holding for a cash bid reported at roughly $5.9 billion; the sale was formally approved 2025-12-02. This is a major, very recent ownership change affecting the Lemont refinery along with CITGO's Lake Charles, LA and Corpus Christi, TX refineries.
